Client Rights

Work Product

Ownership of work product created specifically for clients will be addressed in individual service agreements, typically granting clients rights to use such work product for their business purposes.

Confidentiality

Both parties acknowledge that they may have access to confidential information of the other party. We agree to:

  • Use confidential information solely for the purpose of providing services
  • Implement appropriate safeguards to protect confidential information
  • Not disclose confidential information to third parties without consent

Termination

  • Immediately for material breach that remains uncured after 14 days' written notice

Effect of Termination

Upon termination, all rights and obligations cease except those that by their nature survive termination, including payment obligations, confidentiality, intellectual property rights, and limitation of liability.

Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

The parties agree to attempt to resolve any disputes through good faith negotiation before pursuing formal legal proceedings.

Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting updated Terms on our Website with a new "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

For significant changes, we may provide additional notice via email or other appropriate means.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
